TAY3D LLC — MANUFACTURING TERMS & CONDITIONS

Effective Date: September 2026

These Terms and Conditions (“Terms”) apply to products and manufacturing services provided by Tay3d LLC (“Tay3d”) to the customer (“Customer”). By accepting a quotation, placing or approving an order, submitting files for manufacture, authorizing production, or accepting delivered products, Customer agrees to these Terms unless otherwise agreed by Tay3d in writing.

Contract Manufacturing

Tay3d provides contract manufacturing services, including additive manufacturing/3D printing, using Customer-supplied or Customer-approved designs, CAD files, drawings, specifications, materials, tolerances, and other requirements. Unless expressly agreed otherwise in writing, Tay3d acts as a build-to-print manufacturer and does not provide engineering certification, design validation, regulatory approval, or certification of a product's suitability for its intended application.

Customer Responsibility for Design and Application

Customer is responsible for determining whether the design, dimensions, tolerances, material, manufacturing process, and finished product are suitable for the intended application.
Customer is responsible for all necessary engineering analysis, testing, validation, regulatory compliance, certification, and safety analysis.
Acceptance of an order by Tay3d does not constitute approval, certification, or validation of the Customer's design or intended application.

Customer-Supplied Files and Specifications

Customer is responsible for the accuracy and completeness of all CAD files, drawings, dimensions, tolerances, revisions, and specifications supplied to Tay3d. Customer must identify any critical dimensions, tolerances, mating surfaces, cosmetic requirements, mechanical requirements, or other special acceptance criteria before production. Unless specifically stated otherwise, normal manufacturing variation associated with the selected manufacturing process is acceptable. Tay3d is not responsible for fitment problems, assembly problems, performance deficiencies, or product failures caused by errors or omissions in Customer-supplied designs or specifications.

Additive Manufacturing Characteristics

Customer acknowledges that additive-manufactured products may exhibit characteristics inherent to the process, including layer lines, seams, support marks, dimensional variation, anisotropic mechanical properties, internal voids, surface variation, color variation, shrinkage, and warping. Published material properties are generally derived from controlled test specimens and do not guarantee identical performance in a finished component. Actual performance may vary based on geometry, print orientation, process parameters, temperature, moisture, UV exposure, chemicals, aging, loading direction, and operating environment. Unless specifically agreed in writing, Tay3d does not warrant that an additively manufactured component will possess properties identical to an injection-molded, machined, cast, or otherwise conventionally manufactured component made from a similarly named material.

Material Selection

When Customer specifies a material, Customer is responsible for determining its suitability for the intended application. When Tay3d recommends a material, the recommendation is based upon information provided by Customer and general material characteristics and does not constitute an engineering certification or guarantee of fitness for the application. Tay3d will not knowingly make a material substitution that materially differs from the Customer- approved material without Customer approval.

Design and Manufacturing Assistance

Suggestions by Tay3d concerning printability, orientation, supports, wall thickness, geometry, tolerances, material selection, or similar manufacturing considerations are manufacturing assistance and do not constitute engineering services unless Tay3d expressly agrees in writing to provide engineering or design services.

Customer remains responsible for validating any resulting design.

Prototypes and Development Parts

Products identified as prototypes, samples, test parts, development parts, or similar items are intended for evaluation and development. Customer is responsible for testing and validating such products before production use, resale, or use in applications where product failure could cause bodily injury or significant property damage.

High-Risk and Safety-Critical Applications

Customer must disclose before ordering if a product is intended for an application in which failure could reasonably result in death, serious bodily injury, substantial property damage, loss of vehicle or vessel control, loss of pressure containment, failure of life-safety equipment, or release of a suspended load.

Tay3d reserves the right to refuse any order based upon its intended application.

Unless specifically accepted by Tay3d in writing following disclosure of the intended application, products manufactured by Tay3d shall not be used as:

  • implanted medical devices or life-support components;

  • fall-protection or personnel-safety equipment;

  • load-lifting, rigging, or load-suspension hardware;

  • safety-critical braking or steering components;

  • structural pressure vessels; or

  • other components whose individual failure can reasonably be expected to directly cause death or serious bodily injury

    Aircraft, unmanned-aircraft, and aerospace applications are not accepted where the product would constitute an excluded completed-operations aerospace exposure.

Regulatory Compliance and Certifications

Unless expressly stated in writing for a particular order, Tay3d does not represent that products comply with or are certified under FDA, FAA, UL, NSF, ASME, DOT, automotive, aerospace, medical, food-contact, electrical, fire-safety, or other specialized regulatory or industry standards. Customer is responsible for identifying all applicable regulatory, testing, certification, labeling, documentation, and traceability requirements before ordering.

Inspection and Quality Requirements

Tay3d will use commercially reasonable manufacturing and inspection practices appropriate to the order.

Any requirements for first-article inspection, dimensional inspection reports, certificates of conformance, material certifications, lot traceability, special testing, sampling plans, or other quality documentation must be disclosed before quotation and may result in additional charges.

Customer must identify all critical dimensions and acceptance criteria before production.

Customer Inspection and Claims

Customer should inspect products promptly upon receipt.

Claims involving readily observable quantity discrepancies, damage, dimensional nonconformity, cosmetic defects, or manufacturing defects must be reported to Tay3d within 10 business days of delivery.

Latent defects that could not reasonably have been discovered during initial inspection must be reported promptly following discovery.

Customer should provide photographs, measurements, samples, or other information reasonably requested by Tay3d to evaluate a claim.

Limited Manufacturing Warranty

Tay3d warrants that products will, at the time of delivery, materially conform to the Customer-approved specifications and expressly agreed acceptance criteria, subject to normal variation inherent in the selected manufacturing process.

If Tay3d determines that a product materially fails to conform because of Tay3d's manufacturing error, Tay3d may, at its option:

  • repair the affected product;

  • replace the affected product;

  • reperform the affected manufacturing service; or

  • refund the amount paid for the affected product.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR THE EXPRESS WARRANTY ABOVE, TAY3D DISCLAIMS IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Customer Testing and Validation

Customer is responsible for testing and validating manufactured products under conditions representative of their intended application before relying upon them in production, commercial distribution, or an application involving material safety or performance risk.

Previous successful manufacture or use of a product does not eliminate Customer's responsibility for appropriate testing and validation.

Modification After Delivery

Tay3d is not responsible for failures caused by post-delivery machining, drilling, tapping, heating, welding, bonding, coating, chemical treatment, assembly, modification, improper storage, improper installation, abuse, misuse, or operation outside the material's appropriate service conditions.

Intellectual Property

Customer represents that it owns or possesses sufficient rights to use and authorize manufacture from all CAD files, designs, drawings, trademarks, copyrighted works, patents, and other intellectual property supplied to Tay3d.

Customer agrees to indemnify and defend Tay3d against third-party intellectual-property claims arising from manufacture according to Customer-supplied designs or instructions, except to the extent arising from intellectual property independently supplied by Tay3d.

Pricing and Quotations

Quotations are valid for the period stated on the quotation.

Pricing may be revised if quantities, specifications, materials, files, tolerances, inspection requirements, delivery requirements, or other assumptions change.

Unless otherwise stated, shipping, taxes, duties, special inspection, certifications, post-processing, and other services not specifically identified in the quotation are not included.

Payment

Payment is due according to the terms stated on the applicable quotation or invoice.

Tay3d may suspend production, shipment, credit terms, or future work on overdue accounts.

Customer is responsible for reasonable costs associated with collecting legitimately past-due balances to the extent permitted by law.

Order Changes and Cancellation

Changes or cancellations requested after an order has entered production are subject to Tay3d approval.

Customer is responsible for completed work, work in progress, materials purchased or committed, noncancelable expenses, and other reasonable costs incurred before cancellation or modification.

Delivery

Production and delivery dates are estimates unless Tay3d expressly guarantees a date in writing.

Tay3d is not liable for delays beyond its reasonable control, including carrier delays, material shortages, equipment failures, utility interruptions, severe weather, labor disruptions, supplier failures, governmental actions, or other circumstances outside Tay3d's reasonable control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAY3D SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, LOSS OF USE, BUSINESS INTERRUPTION, OR COSTS ASSOCIATED WITH CUSTOMER'S ASSEMBLY, DISASSEMBLY, INSTALLATION, REMOVAL, OR RECALL OF PRODUCTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAY3D'S CONTRACTUAL LIABILITY ARISING FROM AN ORDER SHALL NOT EXCEED THE AMOUNT PAID TO TAY3D FOR THE PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Customer Indemnification

To the extent permitted by applicable law, Customer agrees to defend, indemnify, and hold harmless Tay3d LLC and its members, employees, and agents from third-party claims, damages, liabilities, and reasonable defense costs arising from:

  • Customer-supplied designs or specifications;

  • Customer's selection of the product for its intended application;

  • Customer's failure to properly test or validate the product;

  • Customer's modification, assembly, installation, integration, labeling, distribution, or resale of the product;

  • misuse of the product; or

  • Customer's failure to disclose a safety-critical or high-risk application;

except to the extent the claim results from Tay3d's negligence, willful misconduct, or failure to manufacture the product in material conformity with the agreed specifications.

Confidentiality and Customer Files

Tay3d will use commercially reasonable measures to protect non-public Customer files and information.

Unless a separate nondisclosure agreement applies, Tay3d may disclose information as reasonably necessary to employees, contractors, suppliers, insurers, attorneys, professional advisers, or service providers involved in manufacturing, administering, or defending claims related to an order, or when required by law.

Manufacturing Records

Tay3d may retain Customer files, order information, correspondence, manufacturing records, material information, inspection information, photographs, and related documentation for quality-control, business, insurance, and risk-management purposes.

Any special traceability or record-retention requirement must be communicated before quotation.

Customer Purchase Orders

Any terms contained in a Customer purchase order, procurement portal, or other Customer document that conflict with or add to these Terms are rejected unless expressly accepted in writing by an authorized representative of Tay3d.

Tay3d's acknowledgment or fulfillment of a purchase order does not by itself constitute acceptance of conflicting Customer terms.

Governing Law

These Terms and transactions between Tay3d and Customer shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

If any provision is determined to be unenforceable, the remaining provisions remain effective to the maximum extent permitted by law.

Entire Agreement

These Terms, the applicable quotation, Customer specifications accepted by Tay3d, and any separate written agreement signed by Tay3d constitute the agreement concerning the order.

No modification or waiver of these Terms is effective unless accepted by Tay3d in writing.
